Mintly Affiliate Program Terms of Service

These Terms of Service ("Terms") govern participation in the Mintly Affiliate Program (the "Program") offered by Mintly, Inc. ("Mintly," "we," "us," or "our").
By applying for or participating in the Program, you ("Affiliate," "you," or "your") agree to be bound by these Terms.
1. Definitions
- Affiliate — An individual or entity accepted into the Program.
- Referral — A customer who signs up for a paid Mintly plan through your unique referral link.
- Qualified Purchase — A completed, non-fraudulent, paid transaction meeting all conditions in these Terms.
- Commission — The amount payable to you for Qualified Purchases.
- Tolt Platform — The third-party platform (e.g., tolt.io) used by Mintly for affiliate tracking, reporting, and payouts.
2. Relationship to Mintly Terms of Service & Privacy Policy
By applying to or participating in the Program, Affiliate also agrees to be bound by Mintly's main Terms of Service and Privacy Policy, as updated from time to time and published on usemintly.com.
In the event of any conflict:
- These Affiliate Terms govern with respect to the Program; and
- Mintly's main Terms of Service govern all other aspects of Affiliate's use of Mintly's services and website.
3. Enrollment & Eligibility
- Applications are submitted through Mintly's affiliate signup form; acceptance or rejection is at Mintly's sole discretion.
- Affiliate must be at least eighteen (18) years old and have the legal capacity to enter a binding contract.
- The Program is void where prohibited and is not available in any jurisdiction subject to comprehensive U.S. sanctions or embargoes, or where local laws would prohibit participation in affiliate programs or the receipt of commissions.
- Mintly may reject or terminate applications involving illegal, deceptive, violent, pornographic, hateful, or otherwise inappropriate content.
4. Affiliate Conduct
Affiliates must:
- Comply with all applicable laws, regulations, and advertising standards;
- Disclose affiliate relationships clearly (e.g., "If you sign up through this link, I may earn a commission");
- Not engage in:
- Unsolicited bulk email ("spam");
- Cookie-stuffing, forced clicks, or hidden redirects;
- Misrepresenting Mintly's products, pricing, or affiliation;
- Bidding on Mintly trademarks or similar terms in paid search;
- Registering or using domains or handles containing "Mintly" or confusing variants.
Mintly may suspend or terminate any Affiliate immediately for violating this section.
5. Affiliate Advertising & Compliance
Affiliate is solely responsible for all advertising, content, and communications used to promote Mintly and must comply with all applicable laws and regulations, including (where applicable):
- Advertising and consumer protection laws;
- Email marketing laws (including CAN-SPAM and similar laws);
- Data protection and privacy laws (including GDPR/CCPA equivalents);
- All applicable FTC or similar guidelines for endorsements, testimonials, and disclosures.
Affiliate must:
- Clearly and conspicuously disclose that Affiliate may receive a commission (e.g., "This is a sponsored post. If you sign up through this link, I may earn a commission.");
- Not make any statement about Mintly, its features, performance, or results that is false, misleading, or inconsistent with Mintly's current public marketing materials;
- Not make income or performance claims about Mintly unless:
- They are true and based on Affiliate's own documented experience; and
- They are accompanied by an appropriate disclaimer (e.g., "These were my results. Your results will vary based on many factors.");
- Not use telemarketing, unsolicited SMS, or any prohibited or illegal channels to promote Mintly;
- Immediately modify or remove any advertisement or post upon Mintly's request.
Coupon, Discount & Checkout Intent Traffic.
Affiliates may not promote unauthorized coupon codes, discounts, promo codes, or special offers. Affiliates may not target customers who are already in Mintly's checkout flow, pricing flow, signup flow, login flow, or cancellation flow. Affiliates may not use browser extensions, toolbars, pop-ups, overlays, injected links, coupon sites, cashback sites, loyalty sites, or similar mechanisms to intercept, redirect, overwrite, or claim attribution for customers who were already intending to purchase Mintly.
Any commission generated through coupon interception, checkout interception, attribution overwriting, or other non-incremental traffic may be withheld, reversed, or permanently disqualified.
Mintly retains the sole right to determine whether any advertisement or promotional content is compliant.
6. Paid Advertising, Search Ads & PPC Restrictions
Unless Mintly provides prior written approval, Affiliates may not run, purchase, bid on, or otherwise use paid advertising to promote Mintly or generate affiliate commissions. This includes, without limitation, Google Ads, Bing Ads, Yahoo Ads, paid search, paid social, display ads, retargeting ads, native ads, YouTube ads, shopping ads, programmatic ads, or any other pay-per-click, pay-per-impression, or paid traffic source.
Affiliates may not use paid search or PPC advertising to send traffic directly to Mintly's website, landing pages, checkout pages, pricing pages, signup pages, or any Mintly-owned domain through an affiliate link, tracking link, redirect, or other attribution mechanism.
Affiliates may not bid on, target, or appear for any search query containing Mintly's brand, trademarks, domain names, product names, or confusingly similar variations. This includes, without limitation:
- Mintly
- usemintly
- usemintly.com
- Mintly AI
- Mintly ads
- Mintly pricing
- Mintly coupon
- Mintly discount
- Mintly promo code
- Mintly review
- Mintly alternative
- misspellings, spacing variations, plural forms, abbreviations, or other confusingly similar terms
Affiliates must not use Mintly's name, trademarks, domain names, or confusingly similar terms in ad copy, headlines, display URLs, sitelinks, callouts, structured snippets, tracking templates, landing page URLs, account names, campaign names, ad group names, or any other advertising asset without Mintly's prior written approval.
Affiliates may not use broad match, phrase match, dynamic search ads, Performance Max campaigns, automated placements, keyword expansion, or other automated targeting features in a way that may cause Affiliate's ads to appear for Mintly-branded, navigational, coupon, pricing, review, login, or support-related searches.
If Mintly approves any paid search activity in writing, Affiliate must add Mintly, usemintly, usemintly.com, and any other brand variations designated by Mintly as negative keywords across all campaigns before any ads are launched. Mintly may require screenshots, campaign exports, search term reports, keyword lists, negative keyword lists, ad copy, landing pages, tracking templates, and other documentation to verify compliance.
Affiliates may not run ads that compete with, interfere with, increase the cost of, or otherwise disrupt Mintly's own paid advertising campaigns. Mintly may determine, in its sole discretion, whether an Affiliate's paid advertising creates channel conflict, attribution issues, customer confusion, inflated acquisition costs, or non-incremental referrals.
Affiliates may not bid on competitor brand terms, comparison terms, "alternative" terms, coupon terms, discount terms, or review terms for the purpose of promoting Mintly unless Mintly gives prior written approval. Mintly may approve, restrict, or revoke permission for specific keywords, campaigns, landing pages, or traffic sources at any time.
Any customer acquired through prohibited paid advertising, direct linking, brand bidding, trademark bidding, coupon bidding, misleading ads, or non-approved PPC activity will not be considered a Qualified Purchase. Mintly may withhold, reverse, claw back, or refuse to pay commissions for any such customer, including recurring or lifetime commissions.
Mintly reserves the right to suspend or terminate any Affiliate immediately for violating this section. Mintly may also permanently exclude the Affiliate from future participation in the Program and recover any commissions previously paid in connection with prohibited paid advertising activity.
7. Use of Brand Assets
Mintly grants Affiliates a limited, non-exclusive, revocable license to use Mintly's name, logo, and approved marketing materials solely to promote Mintly under these Terms.
Affiliates may not:
- Alter, modify, or distort logos or brand assets;
- Present themselves as employees, agents, or representatives of Mintly;
- Register any domain, handle, or advertising identifier containing "Mintly" or a confusingly similar term;
- Imply endorsement or co-branding without Mintly's prior written consent.
All rights to use Mintly brand assets end immediately upon termination.
8. Qualified Purchases
Commissions are earned only for Qualified Purchases, defined as sales that:
- Are tracked via Affiliate's unique affiliate link and cookie;
- Are made by a new customer not previously in Mintly's system;
- Are successfully paid and not refunded, cancelled, or disputed;
- Are not self-referrals or made by an entity controlled by Affiliate.
Mintly reserves the right to disqualify, adjust, reverse, withhold, or reassign commissions associated with fraudulent, duplicate, invalid, non-incremental, misattributed, prohibited, or otherwise non-compliant transactions, including transactions generated through prohibited paid advertising, brand bidding, coupon bidding, direct linking, cookie-stuffing, forced clicks, unauthorized redirects, or traffic sources that Mintly determines create attribution confusion or channel conflict.
9. Commissions & Payments
All commission rates, payout schedules, cookie durations, minimum thresholds, and related details are governed by the Tolt Platform and the Mintly Affiliate dashboard. The version displayed there is the controlling record for all payment-related matters.
Unless otherwise stated in the Affiliate dashboard, eligible Affiliates may earn recurring commissions on Qualified Purchases for as long as the referred customer maintains an active paid Mintly subscription and the Affiliate remains in good standing under these Terms.
Unless otherwise stated in writing or in the Affiliate dashboard, commission eligibility is limited as follows:

| Discounts, coupons, or promotional offers | Eligible only on net subscription revenue actually received by Mintly after discounts, coupons, credits, refunds, chargebacks, taxes, and other excluded amounts. |
| Enterprise, custom, offline, or negotiated contracts | Eligible only if Mintly approves the commission in writing. |
Mintly may alter, suspend, or discontinue the Program — including commission rates, payout structures, and qualification criteria — at any time and without notice.
Affiliate is responsible for:
- Maintaining accurate payment details; and
- Reporting and paying all applicable taxes.
Mintly is not liable for delays or errors caused by inaccurate or incomplete payment information.
Affiliate acknowledges that participation in the Program creates no vested right or expectation of future earnings, except for any approved recurring commissions that Mintly elects or agrees to continue paying after termination without cause under Section 14.
10. Fraud & Recovery Rights
Mintly may withhold, offset, or recover any commissions previously paid for transactions later determined to be fraudulent, refunded, disputed, or in violation of these Terms. Recovery may be applied against future payouts or pursued directly from Affiliate.
If the chargeback, refund, or dispute rate associated with customers referred by Affiliate exceeds a level Mintly considers acceptable (for example, two percent (2%) or higher over any thirty (30) day period), Mintly may, in its sole discretion:
- Suspend or terminate Affiliate's participation in the Program; and
- Withhold or reverse any related commissions.
11. Ownership & Intellectual Property
All Mintly products, trademarks, designs, and content remain Mintly's exclusive property. Nothing in these Terms transfers ownership. Any unauthorized or continued use of Mintly's intellectual property after termination constitutes infringement.
12. Confidentiality
Mintly may share certain non-public information, resources, or materials with Affiliate ("Confidential Information").
Affiliate agrees to:
- Use Confidential Information solely to participate in the Program;
- Protect Confidential Information with at least reasonable care;
- Not disclose Confidential Information to any third party without Mintly's prior written consent.
Upon Mintly's request or upon termination, Affiliate will promptly delete or return all Confidential Information in Affiliate's possession.
These confidentiality obligations survive termination of this Agreement.
13. Customer Relationship
All customers referred through the Program are and remain customers of Mintly. Mintly retains sole ownership of all customer data and relationships. Affiliate:
- May not contact referred customers for unrelated offers using customer data obtained through the Program; and
- May not retain or export customer data for any other purpose.
14. Term & Termination
- These Terms begin upon Affiliate's approval into the Program and remain effective until terminated.
- Mintly may suspend or terminate any Affiliate at any time, for any reason or no reason, with or without notice, at Mintly's sole discretion.
- Upon termination:
- All rights granted to Affiliate cease immediately;
- Affiliate must remove all Mintly links, cease promotions, and stop using brand assets.
- If Affiliate is terminated for fraud, prohibited advertising, misleading claims, self-referrals, coupon interception, attribution manipulation, or other material breach, Mintly may withhold, reverse, claw back, or forfeit unpaid and future commissions, including recurring or lifetime commissions.
- If Affiliate is terminated without cause, Mintly may continue paying approved recurring commissions for existing Qualified Purchases according to the then-current Affiliate dashboard terms, unless otherwise stated in writing. Any continued payment remains subject to refunds, chargebacks, disputes, compliance review, customer cancellation, and these Terms.
- Affiliate may terminate participation at any time by emailing [email protected].
- Mintly is not liable for lost opportunities or future earnings following termination.
15. Audit & Investigation Rights
Mintly may audit affiliate activity, referral sources, and traffic data at any time. If fraudulent, misleading, or non-compliant activity is detected, Mintly may:
- Withhold or reverse commissions;
- Immediately suspend or terminate Affiliate's account; and
- Pursue any available legal remedies.
16. Regulatory Status
Affiliate represents and warrants that Affiliate is not currently the subject of any government or regulatory investigation, inquiry, or enforcement action relating to advertising, consumer protection, or fraud.
Affiliate agrees to notify Mintly in writing within seventy-two (72) hours if Affiliate becomes the subject of such an investigation or enforcement action at any time. Mintly may immediately terminate Affiliate's participation in the Program upon receiving such notice or otherwise learning of such action.
17. Indemnification
Affiliate shall defend, indemnify, and hold harmless Mintly, its affiliates, officers, directors, employees, and agents from and against all claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
- Affiliate's breach of these Terms;
- Affiliate's violation of law or third-party rights; or
- Affiliate's advertising, content, or conduct in connection with Mintly.
These obligations survive termination of this Agreement.
18. Non-Disparagement
Affiliate agrees not to make or publish any statement, online or offline, that disparages or damages Mintly, its products, or personnel. Violation of this section constitutes a material breach and grounds for immediate termination and may entitle Mintly to injunctive relief in addition to other remedies.
19. Disclaimers & Limitation of Liability
The Program is provided "as is" and "as available." Mintly makes no warranties of any kind, express or implied, including any warranties of merchantability, fitness for a particular purpose, or non-infringement.
Mintly does not guarantee:
- Any specific number of clicks, conversions, or income; or
- The continuity of the Program or its terms.
In no event shall Mintly be liable for indirect, incidental, consequential, special, or punitive damages, or for loss of profits, goodwill, or data, even if advised of the possibility of such damages.
Mintly's total aggregate liability to Affiliate for any claim arising out of or relating to these Terms or the Program shall not exceed the total commissions actually paid to Affiliate in the preceding six (6) months.
20. Force Majeure
Mintly shall not be liable for any delay or failure to perform under these Terms caused by events beyond its reasonable control, including acts of God, internet failures, power outages, labor disputes, pandemics, governmental restrictions, or third-party platform outages (including failures of the Tolt Platform).
21. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Florida, U.S.A., without regard to its conflict-of-law principles.
All disputes arising from or relating to these Terms or the Program shall be resolved exclusively in the state or federal courts located in Miami-Dade County, Florida, and each party irrevocably consents to that jurisdiction and venue.
To the maximum extent permitted by law, all claims must be brought by Affiliate in Affiliate's individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding.
Mintly may, at its sole option, elect to resolve any dispute by binding individual arbitration in Miami-Dade County under applicable arbitration rules. If Mintly elects arbitration, judgment on the award may be entered in any court of competent jurisdiction.
22. No Agency or Partnership
Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between Mintly and Affiliate. Affiliate has no authority to bind Mintly or make representations on its behalf.
23. Notices, Tracking Disputes & Governing Version
Notices.
All notices under these Terms shall be deemed delivered when sent via email to the address on record for Affiliate or posted within the Affiliate dashboard. Affiliate is responsible for keeping contact details current.
Tracking Disputes.
If Affiliate believes that a Qualified Purchase was not properly attributed, Affiliate must notify Mintly in writing within thirty (30) days of the transaction. Attribution corrections will be made, if at all, at Mintly's sole discretion. Transactions not reported within this period will not be eligible for adjustment or commission.
Attribution Conflicts.
Mintly's tracking platform is used as a starting point for attribution, but tracked attribution does not guarantee commission eligibility. Mintly may review source, medium, campaign, referral path, customer history, timing, paid advertising activity, and other available data to determine whether a transaction qualifies for commission. In the event of conflicting attribution claims, duplicate referrals, prior customer relationships, paid search overlap, or suspected non-incremental traffic, Mintly's determination will be final.
Where a customer was influenced by multiple Affiliates, channels, campaigns, or prior relationships, Mintly may, in its sole discretion, approve the tracked Affiliate, reject the commission, reassign attribution, split attribution, issue a one-time goodwill bonus, or take no action. Affiliates are not entitled to commissions for referrals that Mintly determines were not primarily caused by Affiliate's compliant promotional activity.
Governing Version.
In the event of any inconsistency between communications, screenshots, or historical copies of these Terms, the version published on usemintly.com/affiliate-terms-of-service at the time of the dispute shall control.
24. Non-Solicitation of Mintly Customers
During the term of this Agreement and for three (3) months after termination, Affiliate shall not use Mintly customer data obtained through the Program to directly solicit such customers on behalf of any competing product or service that performs substantially similar functions to Mintly's core offering.
25. Modifications
Mintly may modify these Terms or any Program feature at any time. Updates will be posted on the Affiliate dashboard or sent by email. Affiliate's continued participation in the Program after such updates constitutes acceptance of the modified Terms.
26. Survival
Without limiting any other provision, the following sections survive termination of this Agreement: 4–24 and 26.
27. Miscellaneous
- These Terms constitute the entire agreement between Mintly and Affiliate regarding the Program and supersede any prior or contemporaneous agreements regarding the Program.
- If any provision is held invalid, the remaining provisions remain in full force and effect.
- Affiliate may not assign or transfer any rights or obligations under these Terms without Mintly's prior written consent. Mintly may assign these Terms at any time.
